NO PURCHASE NECESSARY TO ENTER OR WIN. SWEEPSTAKES IS OPEN TO RESIDENTS OF THE UNITED STATES. The PLASMA TV Sweepstakes ("Sweepstakes") commences at 12:00 AM (PDT) on May 2, 2005 , and ends at 11:59 PM (PDT) on May 31, 2005 (the “Entry Period”). The Sweepstakes is sponsored solely by Pinnacle Systems, Inc., 280 N. Bernardo Ave., Mountain View, Ca 94043 ("Sponsor"). The Sweepstakes is not sponsored or endorsed by the maker of the prize awarded.

Eligibility: Sweepstakes is offered only electronically via the Internet to all natural persons aged 18 and older who are legal residents of the United States for the duration of the Sweepstakes. Employees, officers, and directors of Sponsor, their affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, their immediate family members and persons living in their same household, are not eligible to participate in the Sweepstakes. Void in Puerto Rico . Void where prohibited. All federal, state, and local laws and regulations apply.

How to Enter: You may enter the Sweepstakes in the following ways:

1) Purchase Pinnacle Studio Plus Ultimate Upgrade Bundle : If you purchase the Pinnacle Studio Plus Ultimate Upgrade Bundle through the Pinnacle Estore during the Entry Period, you will be automatically entered into the Sweepstakes; or

2) Alternative Method of Entry : Click on the “Register for a Chance to Win” link inside emails sent to the Pinnacle subscriber base or go to:

provide the required information, and click the submit button. You will then be entered in the Sweepstakes.

You may enter the Sweepstakes once. If Sponsor receives more than one entry from you, Sponsor will accept the first entry received. In order to be eligible for the drawing, electronic entries must be received by the Sponsor server no later than 11:59 PM (PDT) on May 31, 2005 . All entries become the exclusive property of Sponsor, and will not be acknowledged or returned.

Prize: One (1) selected winner will receive a prize of a 42-inch plasma television. Approximate retail value: $2,700.00. Winner should allow one month from notification for delivery of prize. No substitution or transfer of prize by the winner is permitted.

Selection of Winner: One winner will be selected by random drawing from all eligible entries received, to be held on or about June 30, 2005 . Odds of winning will be determined by the number of eligible entries received. Winner will be notified by email within 10 business days of the drawing. Winner will have 10 business days from notification to accept the prize by email to sweepstakes@pinnaclesys.com. Sponsor is not responsible for and shall not be liable for late, lost, misdirected, or unsuccessful efforts to notify winner.

Winner will be required to sign and return a release of liability, declaration of eligibility, and, where lawful, a publicity consent agreement, all within 10 business days of acknowledged notification. By accepting and/or using prize, winner agrees to the use of winner's name, voice, and/or likeness for the purpose of advertising, trade, or promotion of Sponsor without further compensation, unless prohibited by law. If a selected winner cannot be contacted, is ineligible, fails to claim a prize, or fails to timely return the completed and executed affidavit and releases as required, the prize may be forfeited at Sponsor’s discretion and an alternate winner will be selected.

In the event of a dispute regarding who submitted an online entry, the entry will be deemed submitted by the authorized account holder of the email account submitted. Entries will be declared made by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet Access provider, on-line service provider, or other organization (e.g., business, educational institution etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

Conditions: By entering, each participant agrees to be bound by these Official Rules and the decisions of Sponsor, which shall be final. Sponsor, agents, and representatives of Sponsor, their affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible entries; (ii) telephone, electronic, hardware or software program, network, Internet, or computer malfunctions, failures, or difficulties of any kind; (iii) failed, incomplete, garbled, or delayed computer transmissions; (iv) any condition caused by events beyond the control of the Sponsor that may cause the Sweepstakes to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Sweepstakes; or (vi) any printing or typographical errors in any materials associated with the Sweepstakes. Sponsor reserves the right, in its sole discretion, to suspend or cancel Sweepstakes at any time if a computer virus, bug, or other technical problem corrupts the administration, security, or proper play of the Sweepstakes.

By participating in the Sweepstakes, each participant agrees to release and hold Sponsor and the employees, officers, directors, shareholders, agents, representatives of Sponsor, their affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Sweepstakes or resulting from acceptance, possession, or use of any prize, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy.
